Contract review AI that shows its work

Consilena reviews a contract the way a careful first reader would: it reads the agreement, checks the relevant clauses against the legislation that applies, cites each provision it relies on and proposes changes as tracked changes in the Word file. You watch every step, open every source and accept or reject each edit.

What contract review with Consilena covers

Contract review here means a first-pass read of one agreement: what it says, where it departs from the position you want, and where a clause meets or misses a statutory requirement. Typical reviews include a services agreement checked against UK GDPR Article 28(3), an NDA checked for scope and term, or employment terms checked against notice rules in the Employment Rights Act 1996 or BGB § 622.

The output is a memo or a marked-up copy of your document, not a verdict. It is a draft prepared by a tool, for you to check.

How it works, step by step

  1. Upload the contract and say what to checkDrop in a Word or PDF file and describe the review in plain language: the law, your side, the points that matter.
  2. See the price firstThe composer shows an estimate before you send, based on the models, the mode and the jurisdictions you choose.
  3. Watch the workEach step is listed as it happens: reading the contract, searching the legislation, checking clauses, drafting the memo. Every step shows its time and cost.
  4. Open the sourcesEach claim carries a numbered citation. Open it to read the provision itself, from the official publisher, with its status and the date it was retrieved.
  5. Decide on each changeProposed edits arrive as tracked changes. Accept or reject each one; every decision is saved as a new version and the version you reviewed stays as it was.

In the recorded run on the home page, a services agreement was reviewed against UK GDPR Article 28(3) in seven steps for 4 credits, and the result was saved as a five-page Word memo with a gap analysis table. The contract in that recording is synthetic.

What you still check

  • Open each citation and read the provision, not only the summary of it.
  • Check the status (in force, amended, repealed, prospective) and the “Law as of” date shown with the answer.
  • Read the trace: what was searched, what was read, and what was not.
  • Check the facts the review assumes, such as which party you act for, against your own instructions.
  • Read each tracked change in context before you accept it.

This matches the position of courts and regulators in England and Wales: lawyers who use AI must check its output against authoritative sources. See the guide to checking AI legal citations.

What it does not do

  • It does not give legal advice and does not replace your judgement on commercial risk.
  • It does not cite case law: there is no UK or German case law in the corpus yet, so points that turn on judicial interpretation need your own research.
  • It does not know facts you have not given it, and can miss facts that change the outcome.
  • Agreement between several AI models is not proof; they can share the same mistake.

Features that help with contract review

  • Matters keep the facts, documents and outputs of each piece of work together.
  • Library and Workflows let you install review workflows and templates by practice area.
  • Versions compare any two versions of the document and restore an earlier one.
  • Consilena for Word (beta) brings the workspace into Microsoft Word; edits arrive as tracked changes.
  • PDF and DOCX export take the memo and the redline out as files.

Reviewing many contracts at once is a different job: see due diligence, which uses the Batch Review grid.

Frequently asked questions

Can AI review a contract?

Yes, as a first pass. Consilena reads the agreement, checks clauses against the legislation it holds, cites each provision and proposes edits as tracked changes. You check the output and decide on every change.

Can ChatGPT review contracts?

A general chatbot can summarise a contract, but it usually does not show which law it relied on or let you open the provision. Consilena cites the official text, shows each step and puts edits into the Word file as tracked changes.

Does the contract stay in Word format?

Yes. Word in, Word out: edits arrive as tracked changes in the document, and every accepted or rejected change is saved as a new version.

What does a contract review cost?

It depends on the models, the mode and the jurisdictions you choose, and the composer shows an estimate before you send. In the recorded example, a seven-step review cost 4 credits.

Is my contract used to train AI models?

No. We do not train on your documents. Files are stored on AWS in Frankfurt, encrypted at rest; the AI model providers that answer questions are US-based, and requests are sent with data collection denied.
